The Compliance Specialist is responsible for assisting with the development, implementation and maintenance of the compliance programs for the Company's commercial equipment finance operations, including equipment finance agreements (EFAs), leases, and related vendor programs. This role ensures adherence to applicable federal and state lending, leasing, and consumer protection laws, UCC Article 9 requirements, investor and warehouse facility covenants, and internal policies governing underwriting, documentation, collections, and vendor relationships. The Compliance Specialist serves as a key point of contact for regulatory examinations, internal audits, and cross-functional risk initiatives, and works closely with Legal, Credit, Risk, Operations, and Collections to identify and mitigate compliance risk across the transaction lifecycle.
Key Responsibilities
Assist with the development, implementation, and maintenance of compliance policies and procedures covering commercial equipment finance and leasing activities, including AML/BSA, OFAC/sanctions screening, UCC perfection and lien priority requirements, usury and disclosure requirements, and vendor program oversight.
Monitor regulatory developments affecting commercial equipment finance (state licensing, UCC amendments, consumer protection carve-outs for commercial transactions, secondary market/ABS requirements) and translate changes into actionable policy updates.
Conduct periodic risk assessments and compliance testing across origination, documentation, funding, servicing, and collections functions; track findings and remediation through to closure.
Partner with Legal on the review of loan, lease, and vendor program documentation (EFAs, master lease agreements, vendor agreements, guaranties, UCC filings) to confirm compliance with policy and applicable law.
Manage the Company's AML/BSA program, including customer due diligence standards, suspicious activity monitoring, and required reporting, in coordination with the Bank Secrecy Act Officer where applicable.
Serve as a liaison for regulatory examinations, investor/warehouse lender compliance audits, and third-party diligence reviews; prepare responses and coordinate document production.
Develop and deliver compliance training for Credit, Documentation, Collections, and Vendor Relations staff on regulatory requirements, escalation triggers, and policy updates.
Maintain the delinquency and legal escalation trigger framework, ensuring collections and recovery practices align with policy and applicable debt collection laws.
Oversee vendor and broker due diligence and ongoing monitoring, including review of vendor agreements, buyback/repurchase provisions, and recourse arrangements for compliance risk.
Track and report key compliance metrics and open issues to senior management and, as applicable, the Board or Audit Committee.
Support structured finance and securitization transactions by confirming compliance representations, warranties, and eligibility criteria are accurately reflected in transaction documents.
Required Qualifications
Bachelor's degree in business, finance, legal studies, or related field; paralegal experience a plus.
5+ years of compliance, legal, or risk management experience in commercial equipment finance, leasing, or commercial lending.
Working knowledge of UCC Article 9, commercial finance documentation, and secured lending/leasing structures.
Familiarity with AML/BSA requirements, OFAC sanctions screening, and applicable state commercial finance disclosure laws.
Strong analytical, written, and verbal communication skills, with the ability to translate regulatory requirements into practical policy guidance.
Demonstrated ability to manage multiple priorities independently and collaborate across Legal, Credit, Operations, and Collections teams.
Preferred Qualifications
Experience supporting warehouse facility, securitization, or asset-backed lending compliance requirements.
Prior experience with vendor/broker program oversight in an equipment finance or leasing organization.
Professional certification such as CRCM, CAMS, or CLFP.
Work Environment
Standard office environment. Occasional travel may be required for regulatory examinations, audits, or vendor due diligence visits.
